Event Participation Agreement & Waiver

PLEASE READ THIS DOCUMENT CAREFULLY BEFORE ATTENDING ANY EVENT. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE. BY CONFIRMING YOUR ATTENDANCE AT, OR BY ATTENDING, ANY COCONECT EVENT, YOU AGREE TO THIS EVENT PARTICIPATION AGREEMENT & WAIVER (THE “WAIVER”).

This Waiver is an agreement between you and COCONECT, a business registered in Ontario, Canada ("coconect", "we", "us", or "our"). It forms part of, and uses the definitions in, our Terms of Service. It applies to every dinner, activity, meetup, or other in-person experience curated or arranged by coconect (each an "Event").

1. Voluntary Participation

Your participation in every Event is entirely voluntary. You choose which Events to attend, which activities to take part in, and what to eat or drink. You may decline any activity, food, or beverage, and you may leave any Event at any time.

2. coconect’s Limited Role

coconect is a matching and curation service only. We introduce people and reserve tables. We do not own, operate, inspect, or supervise venues; we do not prepare, handle, or serve food or beverages; we do not provide instruction, equipment, supervision, or transportation for any activity; and we do not control the conduct of Members, venue staff, or other third parties. Every venue is an independent business solely responsible for its premises, staff, food, beverages, equipment, and safety practices.

3. Inherent Risks You Acknowledge

Events take place in the real world and carry inherent risks that cannot be eliminated, including without limitation:

Food and beverage risks: allergic reactions, food intolerances, foodborne illness or food poisoning, and the effects of alcohol consumption — all food and beverages are prepared, served, and sold by independent venues, not by coconect;

Physical activity risks: sprains, strains, falls, collisions, overexertion, cardiac events, serious injury, or death arising from padel, golf, hiking, running, bowling, or other activities;

Heat and sauna risks: dehydration, overheating, fainting, or aggravation of medical conditions from sauna or heat exposure;

Premises risks: conditions at venues that coconect does not own, operate, inspect, or control;

Travel risks: risks of travelling to and from Events by any means;

Health risks: exposure to communicable illness inherent in any group setting;

People risks: the statements, conduct, acts, and omissions of other Members, venue staff, and third parties, whom coconect does not control and does not vet.

4. Assumption of Risk

YOU VOLUNTARILY AND KNOWINGLY ASSUME ALL RISKS ARISING FROM YOUR ATTENDANCE AT AND PARTICIPATION IN ANY EVENT, WHETHER OR NOT LISTED ABOVE, WHETHER KNOWN OR UNKNOWN, AND WHETHER ARISING FROM THE NEGLIGENCE OF COCONECT OR OTHERWISE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

5. Release and Waiver of Claims

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE, WAIVE, AND FOREVER DISCHARGE COCONECT AND ITS FOUNDERS, EMPLOYEES, CONTRACTORS, AND AGENTS (THE “RELEASED PARTIES”) FROM ANY AND ALL CLAIMS, DEMANDS, LIABILITIES, DAMAGES, AND CAUSES OF ACTION OF ANY KIND — INCLUDING CLAIMS BASED ON NEGLIGENCE — ARISING OUT OF OR RELATING TO ANY EVENT, INCLUDING CLAIMS RELATING TO FOOD OR BEVERAGES, ALLERGIC REACTIONS, FOODBORNE ILLNESS, VENUE CONDITIONS, PHYSICAL ACTIVITIES, SAUNA OR HEAT EXPOSURE, ILLNESS, PERSONAL INJURY, DEATH, PROPERTY LOSS OR DAMAGE, OR THE CONDUCT OF ANY MEMBER, VENUE, OR OTHER THIRD PARTY. YOU AGREE NOT TO SUE ANY RELEASED PARTY FOR ANY RELEASED CLAIM.

Nothing in this Waiver excludes or limits liability that cannot lawfully be excluded, including liability for fraud, liability for death or personal injury where its exclusion is prohibited, or the non-waivable rights of consumers under the laws of Ontario, Quebec, the EU, the UK, or your place of residence. Where such rights apply, this Waiver is limited to the maximum extent the law permits, and the remainder continues in effect.

6. Your Health and Dietary Responsibilities

You represent that you are physically able to participate in any activity you choose to join and that you have consulted a physician about any condition that could make participation unsafe. You are solely responsible for: assessing your own fitness before physical activities and sauna use; managing your dietary restrictions and allergies, including informing the venue directly of any allergy or restriction; and consuming alcohol — if at all — responsibly and lawfully. coconect may pass along a dietary note to a venue as a courtesy at your request, but you must confirm it directly with the venue, and coconect is not responsible for a venue’s handling of any dietary or allergy information.

7. Emergency Medical Care

If you are injured or become ill at an Event, you consent to the administration of first aid and emergency medical treatment reasonably deemed necessary, and you are responsible for all associated costs. You should ensure you have adequate personal health insurance.

8. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless the Released Parties from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your conduct at any Event, including harm you cause to other Members, venue staff, or property, or your violation of any law or of the Terms of Service, Community Guidelines, or this Waiver. This section does not apply to consumers in jurisdictions where such indemnities are unenforceable against consumers.

9. Photography

Events may be photographed or recorded for community and marketing purposes as described in the Terms of Service. You may opt out of appearing in marketing materials by telling us at or before the Event or by contacting hello@coconect.io, and we will remove or stop using identifiable images of you on request.

10. General

This Waiver is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, subject to any mandatory consumer protections of your place of residence. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the rest remains in effect. This Waiver survives the end of your membership and applies to every Event you attend. It is intended to be binding on you and your heirs, executors, and legal representatives.

11. Acknowledgment

BY CONFIRMING ATTENDANCE AT OR ATTENDING ANY EVENT, YOU CONFIRM THAT: YOU HAVE READ THIS WAIVER AND UNDERSTAND IT; YOU UNDERSTAND THAT YOU ARE GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE; YOU ARE AT LEAST 18 YEARS OF AGE; AND YOU AGREE TO THIS WAIVER FREELY AND VOLUNTARILY.
